Terms & Conditions

Effective: July 1, 2025 through June 30, 2026

At Garden Trends Wholesale, we value our relationships with industry resellers, catalog partners, and seed distribution companies. Our goal is to provide high-quality products, transparent service, and fair business practices. The following Terms & Conditions apply to all wholesale transactions with Garden Trends, Inc. (Garden Trends Wholesale). Garden Trends Wholesale expressly rejects any terms and conditions of purchase unilaterally imposed by a buyer, and fulfillment of a buyer’s order does not constitute acceptance of any of such buyer’s terms and conditions or serve to modify or amend these Terms. Acceptance of an order confirmation by a buyer (which shall be deemed accepted should Buyer not object in writing within five (5) business days of receipt of the order confirmation) is a prerequisite to the purchase of the Goods and shall operate as an acceptance of these Terms which are expressly incorporated into the Order Confirmation.

1. Territory and Pricing
These terms apply to wholesale customers located in the United States and Canada. Some restrictions may apply. Distribution to other resellers or sales outside of the United States are prohibited. Prices are effective from July 1, 2025 through June 30, 2026 and remain valid until superseded. Prices and product availability may change without notice.

2. Minimum Order
A minimum order of $100 is required for all wholesale purchases. All orders are accepted subject to availability.

3. Shipping Charges
All shipments are made F.O.B. from shipping point. Customers are billed for freight charges after shipment. Garden Trends reserves the right to select the most cost-effective carrier unless otherwise requested. Customers are responsible for additional costs associated with expedited or specialized shipping requests.

4. Inspection; Returns
Please inspect your shipment immediately upon receipt. If the product shipped is different than that identified in the order confirmation, or the product’s label or packaging incorrectly identifies its contents (in each such instance, “Nonconforming Goods”), you must notify our Rochester, NY office within ten (10) days after delivery. You will be deemed to have accepted the products if you fail to provide a notification within such ten (10) day period.

If you timely notify us of any Nonconforming Goods, Seller shall, in its sole discretion, (i) replace such Nonconforming Goods with conforming products, or (ii) credit or refund the purchase price for such Nonconforming Goods, together with any reasonable third-party shipping and handling expenses actually incurred and paid by you in connection therewith. You agree to ship, at your expense and risk of loss, the Nonconforming Goods to a location reasonably designated by us. If we exercise our option to replace Nonconforming Goods, we will, after receiving your shipment of Nonconforming Goods, ship to you, at your expense and risk of loss, the replaced products to the location the Nonconforming Goods were shipped.

You acknowledge and agree that the remedies set forth above are your exclusive remedies for Nonconforming Goods. Except as provided herein, all sales of products are made on a one-way basis and the return of products is not permitted.

If your order arrives damaged, notify our Rochester, NY office within ten (10) days of delivery. Provide a detailed list of the damage or shortage. Include photos and a copy of the shipping receipt noting any issues. We’ll assist you in filing the appropriate claim with the carrier or vendor.

5. Payment Terms
With pre-approved credit: invoices are Net thirty (30) days after the date of shipment. Accounts past due are subject to a 1.5% monthly finance charge on the unpaid balance.

6. Packaging
All seed and product orders are shipped in standard supplier packaging unless alternative arrangements are made before shipment.

7. Pricing and Treatments
Prices reflect untreated or available treated seed at the time of order. Custom treatments are available upon request, subject to additional charges. Products with custom treatments are non-returnable.

8. Product Availability (All Orders Subject to Availability)
All orders are subject to product availability. Garden Trends reserves the right to substitute comparable items or cancel unavailable products.

9. Important Notice to Buyers
Garden Trends, Inc. guarantees that all seeds and products conform to the label descriptions required under applicable State and Federal Seed Laws. Except for this express guarantee, no other warranties, express or implied, are made, including merchantability or fitness for a particular purpose. All products are sold as is. Garden Trends’ liability for any loss, damage, or failure arising from the use, handling, or performance of its products, whether caused by negligence, breach of contract, or any other cause, is limited exclusively to the purchase price of the product in question. Garden Trends is not responsible for incidental, consequential, indirect, exemplary, punitive, or enhanced damages, lost profits or revenues, or diminution in value arising out of or relating to these terms and conditions and/or any product sold by Garden Trends, including crop loss, reduced yield, or costs related to planting or harvesting.

10. Force Majeure
Garden Trends, Inc. shall not be held responsible for delays, partial performance, or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, weather, transportation disruptions, supply chain issues, or other events beyond its control.

11. Entire Agreement
By placing and accepting an order, the buyer acknowledges and agrees that these Terms & Conditions represent the complete and exclusive agreement between the buyer and Garden Trends, Inc. regarding all wholesale transactions.

12. No Waiver
No waiver by Garden Trends of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by Garden Trends. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement by Garden Trends operates or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder by Garden Trends precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege by Garden Trends.
